HEY BABE! PLEASE READ THESE TERMS CAREFULLY

This Agreement (“Agreement”) is a contract between you (“Ambassador” or
“you”) and Neon Skull, LLC (“Neon Skull, “we,” “our,” or “us”) regarding your
participation in the Neon Skull Babe Ambassador Program (the “Program”).
By applying for and/or participating in the Program, you agree to these terms
and conditions. If you do not agree, you may not participate.
We may update these Terms from time to time to reflect changes to the
Program, applicable laws, or our business practices. We will notify you of
material changes by email or other reasonable means. Your continued
participation after such notice constitutes your acceptance of the updated
Terms.
1. DEFINITIONS
- Ambassador Program – The Neon Skull Babe referral program under which
ambassadors promote Neon Skull products.
using a unique referral code and earn commissions on qualifying purchases.
- Referral Code – The unique, trackable code assigned to you upon
acceptance into the Program.
- Qualifying Sale – A sale made on neonskull.com by a customer who uses
your Referral Code at checkout, provided the
purchase is not canceled, refunded, or fraudulent.
- Commission – The percentage of the Net Purchase Price earned by the
Ambassador on each Qualifying Sale, as detailed in Section 4.
- Customer – The purchaser of Neon Skull products using your Referral Code.
- Net Purchase Price – The final amount received by Neon Skull for a
Qualifying Sale, after deductions for taxes, shipping, discounts, returns,
chargebacks, or fraudulent transactions.
2. NON-EXCLUSIVITY
Your participation is non-exclusive. Neon Skull may work with other
ambassadors, influencers, or affiliates, and you are free to promote other
brands, provided you do not engage in deceptive or misleading marketing or
directly compete in a way that misrepresents your relationship with Neon
Skull.

3. PROGRAM ELIGIBILITY & ACCEPTANCE
- You must be at least 18 years of age and legally able to enter into binding
contracts.
- You must complete the Ambassador application truthfully and accurately.
- Neon Skull reserves the right to accept or reject any application at its sole
discretion.
- If accepted, these Terms take effect immediately and remain in effect until
terminated in accordance with Section 10.
4. COMMISSION STRUCTURE & INCENTIVES
Base Commission
- You will earn a 10% base commission on the Net Purchase Price of each
Qualifying Sale made using your Referral Code.
Performance Bonuses
- +5% Bonus - If you make 3 or more Qualifying Sales in a calendar month, you
will earn an additional 5% commission on all sales made that month.
- +10% Bonus - If you make 5 or more Qualifying Sales in a calendar month,
you will earn an additional 10% commission on all sales made that month
(instead of the 5% bonus).
- Quarterly Reward - If you make 10 or more Qualifying Sales in a calendar
quarter, you will receive one free Neon Skull swimsuit or exclusive piece of our
choice, in addition to your earned commissions.
Payment
- Commissions will be paid monthly via check, unless otherwise agreed upon
in writing (email is sufficient).
- Commissions are calculated after the return/exchange period has passed.
- If a Customer returns a product or a chargeback occurs, the related
commission will be deducted from your next payment or invoiced to you if no
future commissions are due.
- You are responsible for any applicable taxes on your commissions and
rewards.
5. EXCLUSIVE AMBASSADOR PERKS
As a Neon Skull Babe Ambassador, you will also receive:
- Early Access - Preview new drops before they are released to the public.
- Exclusive Colorways & Limited Editions - The option to promote special
colors or pieces not available to the general public.
- Content Support - We will provide you with:
- Short-form video clips (5–15 seconds) you can repost or remix.

- High-quality imagery, captions, or talking points for your audience.
- Testimonials or styling tips to help you promote and educate customers.
6. AMBASSADOR RESPONSIBILITIES
You agree to:
- Represent Neon Skull in a manner consistent with our brand values and
guidelines.
- Clearly disclose your ambassador relationship in compliance with all
applicable advertising, endorsement, and disclosure laws, including FTC
guidelines.
- Only promote Neon Skull products through lawful means and approved
channels.
- Avoid spam, misleading claims, or unauthorized discounts.
7. PROHIBITED ACTIVITIES
You may not:
- Use your own Referral Code to purchase Neon Skull products for yourself.
- Engage in fraudulent, misleading, or deceptive marketing practices.
- Use paid advertising targeting “Neon Skull” or related brand terms without
prior written approval.
- Offer cash incentives or discounts outside of those provided by Neon Skull.
- Promote on websites or content that are offensive, obscene, defamatory,
discriminatory, or illegal.
8. TRADEMARKS & CONTENT USE
We grant you a limited, non-exclusive, revocable license to use Neon Skull
trademarks, logos, and provided marketing
materials solely for purposes of participating in the Program.
You may not:
- Alter our logos or trademarks.
- Use them in any way that suggests an official partnership beyond this
Program.
- Use them in connection with content that is offensive, unlawful, or harmful
to our brand.
9. CONFIDENTIALITY
You may receive confidential information about Neon Skull, our marketing
strategies, or future products. You agree not
to disclose, use, or exploit such information for any purpose outside the
Program without our written consent.

10. TERM & TERMINATION
Termination by Either Party: Either party may terminate this Agreement at
any time with or without cause by providing written notice (email is
sufficient).
- Termination for Cause: Neon Skull may terminate immediately if you
breach these Terms, engage in fraudulent activity, or harm our brand.
- Effect of Termination: Upon termination, you must immediately stop using
your Referral Code and Neon Skull branding.
- Commissions will only be paid for Qualifying Sales made prior to the
termination date.
11. REPRESENTATIONS & WARRANTIES
You represent and warrant that:
- You have the legal right to enter this Agreement.
- Your participation does not violate any other agreement you have.
- You will comply with all applicable laws, rules, and regulations in connection
with your activities under the Program.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Neon Skull, its officers,
employees, and agents from and against any
claims, liabilities, damages, or expenses (including reasonable attorney’s fees)
arising out of or related to:
- Your participation in the Program.
- Your violation of these Terms.
- Your infringement of any third-party rights.
13. DISCLAIMERS & LIMITATION OF LIABILITY
- Disclaimer: The Program is provided “as is” without warranties of any kind,
express or implied.
- Limitation: To the fullest extent permitted by law, Neon Skull’s liability arising
out of this Agreement shall not
exceed the total commissions paid to you in the six (6) months preceding the
event giving rise to the claim.
- No Indirect Damages: Neon Skull will not be liable for any indirect, incidental,
or consequential damages.
14. GENERAL
- Governing Law: This Agreement is governed by the laws of the State of
Colorado, without regard to conflicts of laws principles.
- Entire Agreement: This Agreement constitutes the entire agreement
between you and Neon Skull regarding the Program.

- Severability: If any provision is held invalid, the remainder will remain in
effect.
- Assignment: You may not assign your rights or obligations without our prior
written consent. We may assign this Agreement at our discretion.
By applying to and participating in the Neon Skull Babe Ambassador
Program, you acknowledge that you have read, understood, and agree to be
bound by these Terms.
